These Terms of Use govern access to gradify.io and GRADIFY services operated by GRADIFY Technologies Incorporated. By using the site or services, you agree to these terms and our Privacy Policy. Where a school or district agreement or Data Processing Agreement applies, that agreement controls with respect to student data to the extent of any conflict.

Authorized use

GRADIFY is provided for educational and career-planning purposes. You agree to use the platform lawfully, keep login credentials confidential, and follow applicable school or organizational policies.

Eligibility and accounts for minors

GRADIFY is intended for use by schools, districts, program sponsors, parents, and students. If you are under 18, you may use GRADIFY only with the involvement and authorization of a parent, guardian, or authorized school or program, and only as permitted by applicable law. By allowing a student to use GRADIFY, a school, program, or parent represents that it has the authority to do so.

Accounts and content

You are responsible for information you submit. Schools and authorized administrators may manage student access in accordance with their agreements with GRADIFY. We may suspend access for misuse, security risk, or violation of these terms.

You retain ownership of the content you submit (such as assessment responses and planning activities). You grant GRADIFY Technologies Incorporated a limited, non-exclusive license to use, host, process, and display that content solely to operate and improve the service and to provide it to your authorized school, district, or program. We do not claim ownership of student content and do not use it for advertising.

Accuracy disclaimer

GRADIFY provides college- and career-planning tools and information for general guidance. It does not provide professional, legal, financial, or admissions advice, and outcomes are not guaranteed. Decisions based on the platform are the user's responsibility.

SMS / Messaging Terms

When you opt in to receive SMS from GRADIFY, you agree to receive recurring automated messages related to your account, reminders, or services you requested. Where the recipient is a minor, consent must come from a parent, guardian, or authorized adult. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

Intellectual property

GRADIFY content, software, and branding are owned by GRADIFY Technologies Incorporated or its licensors. You may not copy, reverse engineer, or redistribute platform materials except as expressly permitted.

Disclaimer and limitation of liability

Services are provided "as is" to the extent permitted by law. To the maximum extent permitted by law, GRADIFY Technologies Incorporated will not be liable for indirect, incidental, special, consequential, or punitive damages, and its total liability for any claim relating to the service will not exceed the greater of amounts paid to GRADIFY Technologies Incorporated in the prior 12 months or one hundred U.S. dollars ($100), except where prohibited by law.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless GRADIFY Technologies Incorporated from third-party claims arising out of your misuse of the service or violation of these terms. Schools and districts may address indemnification in their separate agreements with GRADIFY.

Governing law and venue

These terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Mecklenburg County, North Carolina, unless a school or district agreement provides otherwise.

If you believe content on the platform infringes your copyright, send a notice to our designated DMCA agent at admin@gradify.io with the information required by 17 U.S.C. § 512(c).

Accessibility

We strive to conform the platform to recognized accessibility standards (such as WCAG 2.1 AA). To report an accessibility issue, contact admin@gradify.io.

Changes

We may update these terms. Material changes will be reflected on this page with an updated date. Continued use after changes constitutes acceptance.
